Hi, 
	Mostly likely it the serum proteins in your media that are precipatating.    
This has always been a shortcoming of this assay.  Several groups have developed    
modifications of the assay.  Furthermore there are several other tetrazolium dyes on   
the market these days some of which are less toxic.  A good deal of this information   
is summerized in an application note distributed by Molecular Devices (800)   
635-5577.
