Special thank you to an anonymous emailer who helped me correctly identify it as: 

Armillariella tabescens

I went through and re-keyed it and came to the same conclusion.  A photo on the internet was the icing on the cake.  This mushroom is edible and tastes pretty good.

Talk about life's little quirks -- I go hunting in the woods for mushrooms and I have these and Marasmius Oreades growing in the front yard!!!
